Universal Health Services (UHS) announced it has entered a definitive agreement to acquire Talkspace for $5.25 per share, valuing the transaction at approximately $835 million enterprise value. UHS said it will finance the deal with borrowings under its existing revolving credit facility. Talkspace operates a virtual behavioral health platform supported by about 6,000 licensed clinicians serving all 50 states, D.C., and Puerto Rico. As of Dec. 31, 2025, Talkspace services were available to 200+ million people through health plans, EAPs, employers, schools, and government agencies. Talkspace reported $229 million in 2025 revenue and delivered more than 1.6 million therapy and psychiatry sessions. UHS said Talkspace will accelerate its outpatient and telehealth strategies, diversify its payer mix, and help create a nationally scaled continuum that supports smoother transitions across levels of care. The transaction is expected to close in Q3 2026, subject to Talkspace shareholder and regulatory approvals.
